1. Agreement to Terms

By accessing or using Yak's desktop application, website (getyak.app), and cloud services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Account Terms

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account and password.
• You must be at least 13 years old to use the Service.
• One person may not maintain more than one account.
• Accounts are non-transferable. You may not sell, trade, or transfer your account to another party.

3. Subscription & Billing

Yak Lifetime

• One-time payment of $59 for a lifetime license.
• Includes 1 year of application updates and 20 minutes per week of AI transcription.
• Optional update extension available at $19/year after the first year.
• 14-day free trial available, no credit card required.
• 30-day money-back guarantee after purchase.

Yak Pro

• $10/month (billed annually) or $12/month (billed monthly).
• Unlimited AI transcription and always-updated features.
• You may cancel your subscription at any time. Access continues until the end of the current billing period.
• No refunds for partial billing periods.

General Billing Terms

• Each license can be activated on up to 3 devices.
• All prices are in USD. Applicable taxes (VAT, etc.) may apply based on your location.
• We reserve the right to change pricing with at least 30 days' notice to existing customers.

4. Acceptable Use

You agree not to:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the software.
• Circumvent usage limits, license validation, or other technical restrictions.
• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Automate bulk usage or abuse the API in any way.
• Redistribute, sublicense, or resell the software or any part of it.
• Use the Service to infringe on the intellectual property rights of others.

5. AI Service & Output Disclaimer

• Transcription results are generated by AI and are not guaranteed to be 100% accurate.
• AI output does not constitute professional, legal, medical, or financial advice.
• You are responsible for reviewing and verifying all transcription content before relying on it.
• Transcription quality is affected by audio quality, accents, background noise, and other environmental factors.
• Yak is not liable for any losses resulting from reliance on AI-generated output.

6. Intellectual Property

• The Yak software and all its components are proprietary, closed-source software protected by copyright law. All rights are reserved.
• Your purchase grants you a limited, non-exclusive, non-transferable license to use the software in accordance with these Terms.
• You retain full ownership of your transcription content. We claim no intellectual property rights over the text generated from your audio.
• You may not copy, distribute, modify, or create derivative works of the software.

7. Third-Party Services

• The Service relies on Vertex AI for transcription, which is subject to its own terms of service.
• When using BYOK (Bring Your Own Key) mode, you are responsible for complying with the applicable API provider's terms of use.
• Yak is not responsible for the availability, performance, or policies of third-party services.

8. Service Availability

• The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation.
• We reserve the right to temporarily suspend the Service for maintenance or updates with reasonable notice when possible.
• Features that depend on third-party AI services are subject to the availability and performance of those services.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• Yak's total liability is limited to the amount you have paid for the Service in the 12 months preceding the claim.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
• We are not responsible for damages arising from your use of or inability to use the Service, unauthorized access to your data, or third-party service failures.

10. Termination

• You may cancel your subscription or delete your account at any time from your account settings.
• We may terminate or suspend your account for violation of these Terms, with prior notice when feasible.
• Upon termination: you must stop using the software; local data on your device remains under your control; cloud-based account data will be deleted within 30 days.

11. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or the Service will be resolved through good-faith negotiation first, and if unsuccessful, through the appropriate legal channels in the jurisdiction where Yak operates.

12. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will provide at least 30 days' notice via email or through the Service. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms.
